These Terms of Service (“Terms”) govern your access to and use of the METRIKO Touch Shopify application (“the App”, “Service”, “we”, “our”, or “us”). By installing or using the App, you agree to be bound by these Terms.

If you do not agree to these Terms, do not install or use the App.

1. Description of the Service

METRIKO Touch is an AI-powered optimization platform designed to help Shopify merchants generate and analyze product content, including product descriptions, images, videos, and SEO and AI-visibility (AIO) insights.

The App operates within the Shopify platform and is intended for use by Shopify merchants only.

2. Eligibility

To use the App, you must:

  • Have an active Shopify store

  • Have the authority to bind the store to these Terms

  • Comply with all applicable laws and Shopify policies

3. Account and Access

Access to the App is provided through Shopify authentication. You are responsible for maintaining the security of your Shopify account and for all activities that occur in connection with your use of the App.

4. Merchant Content

a. Ownership

You retain ownership of all content, data, and materials you submit to the App, including product information, images, and prompts (“Merchant Content”).

b. License

By using the App, you grant METRIKO Touch a limited, non-exclusive license to process Merchant Content solely for the purpose of providing and improving the App’s functionality.

c. Responsibility

You are responsible for ensuring that Merchant Content:

  • Does not violate applicable laws or third-party rights

  • Is accurate and appropriate for use in your store

  • Complies with Shopify’s Terms of Service

5. AI-Generated Content

The App uses artificial intelligence to generate content and insights.

  • AI-generated outputs are provided “as is” and may require human review or editing.

  • METRIKO Touch does not guarantee the accuracy, originality, or legal compliance of AI-generated content.

  • You are responsible for reviewing and approving any content before publishing it to your store.

6. Acceptable Use

You agree not to:

  • Use the App for unlawful, harmful, or misleading purposes

  • Submit content that infringes intellectual property or privacy rights

  • Attempt to reverse engineer, abuse, or interfere with the App’s systems

  • Use the App to generate content that violates Shopify policies

7. Fees and Billing

Some features of the App may require payment. All fees, billing terms, and subscription details are managed through Shopify and are subject to Shopify’s billing policies.

Failure to pay applicable fees may result in suspension or termination of access to paid features.

8. Suspension and Termination

We may suspend or terminate your access to the App if:

  • You violate these Terms

  • Required by law or Shopify policies

  • Necessary to protect the security or integrity of the App

You may stop using the App at any time by uninstalling it from your Shopify store.

9. Intellectual Property

The App, including its software, design, and branding, is owned by METRIKO Touch and protected by applicable intellectual property laws.

These Terms do not grant you any ownership rights in the App itself.

10. Disclaimers

The App is provided on an “as is” and “as available” basis.

To the maximum extent permitted by law, METRIKO Touch disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

11. Limitation of Liability

To the maximum extent permitted by law, METRIKO Touch shall not be liable for any indirect, incidental, consequential, or special damages, including loss of profits, data, or business opportunities, arising from or related to your use of the App.

12. Indemnification

You agree to indemnify and hold harmless METRIKO Touch from any claims, damages, or liabilities arising from:

  • Your use of the App

  • Your Merchant Content

  • Your violation of these Terms or applicable laws

13. Changes to the Terms

We may update these Terms from time to time. Continued use of the App after changes are posted constitutes acceptance of the updated Terms.

14. Governing Law
